The firm projects practice covers all aspects of a project, from the initial development stage to financial closing and/or disposal of the project assets. We advise in relation to the negotiation and drafting of all the key project agreements (setting-up of the project company, JV structuring, shareholders’ agreement(s), offtake contracts, concession and implementation agreements, EPC contracts, O&M agreements, site acquisition/lease agreements, etc.) as well as in connection with the financing documentation (negotiation and drafting of loan and security agreements).
Thiam & Associés has been developing a particular expertise in mining law in sub-Saharan Africa. As part of this practice, we represent international mining exploration and development companies, lenders or host governments from the first stages of exploration to the development of a project, its financing, and the production and marketing of the metals or minerals (obtaining/granting of mining titles, negotiation of mining convention, offtake agreements, supply agreements, farm-in agreements, etc.).
